VinFast, our client, is Vietnam’s leading manufacturer of premium automobiles. Supporting them in their global expansion and the launch of their all-electric smart SUV model line-up starting in Canada, USA and Europe, we are looking for a Corporate Law Clerk (Paralegal) to collaborate with internal business units to support various legal requests in the areas of contract law, marketing, human resources, IT, sales, procurement, finance and other divisions. This position can be filled in Montreal or Toronto.

Profile
- College diploma in Law Clerk studies;
- Minimum of four (4) years of experience functioning as a Law Clerk and performing the duties noted above;
- Experience with corporate databases and data room/document sharing technology;
- Strong understanding of corporate legislation;
- Commercial leasing exposure/experience is an asset;
- Flexibility to work outside regular business hours when required and/or necessary;
- Working collaboratively with the team and support different departments including Sales, Finance, HR and other business units;
- French language is an asset;
- A demonstrated ability to manage projects and efficiently handle competing and/or shifting priorities;
- Possessing strong verbal and written communication skills;
- Enjoys working in a fast-paced environment and capable of working under pressure in order to meet deadlines;
- Exercising professionalism, discretion and diplomacy when dealing with sensitive and confidential matters;
- Demonstrated strong research, investigative and problem-solving skills and the ability to exercise judgment and resolve issues;
- Ability to work independently and be proactive;
Responsibilities
- Providing support on company initiatives and strategic projects including commercial leasing and regulatory municipal and provincial licensing;
- Preparing and drafting correspondence relating to corporate-commercial transactions, various agreements, and other documentation;
- Performing document management and maintaining status reports for internal distribution;
- Drafting corporate documents including agreements, resolutions, documents relating to incorporation and organization, amendments, etc.;
- Conducting due diligence and minute book reviews and preparing reports outlining issues and deficiencies;
- Drafting and filing extra-provincial and territorial registrations, amendments, and annual returns, as required by the various provinces and territories;
- Providing support during and/or subsequent to completion of a transaction, as may be required;
- Reviewing, analyzing and summarizing Charter documents and corporate records and recommending a course of action to rectify any deficiencies and drafting necessary documentation;
- Providing assistance with department efficiency and technology projects;
- Managing the contracts database and monitoring/diarizing pertinent contact renewal dates;
- Other tasks as assigned including legal and regulatory research.
